Conversera Asia-Pacific Terms & Conditions
1. Engagement & Scope
We provide strategic conversational marketing services across Asia-Pacific, tailored to client objectives and defined in a mutually agreed Scope of Work. Deliverables may include campaigns, creative assets, platform integrations, and analytics.
2. Term & Deliverables
- Commencement Date: Defined in each Scope of Work.
- Completion Date: As specified, or upon completion of services. Reporting is provided weekly by default unless otherwise agreed.
3. Client & Conversera Obligations
- Conversera will deliver services with reasonable skill, using qualified personnel and maintaining data protection and security standards.
- Client must provide timely materials, approvals, and accurate information, ensuring legal compliance and IP clearance.
4. Fees & Payment
- Fees detailed in each Scope of Work. Invoices issued monthly in advance; due within 30 days.
- Late payments may incur interest, and cancellation terms apply per project specifications.
- Products or third-party tools are billed at cost, with Client approval required.
5. Intellectual Property & Licensing
- Client retains ownership of Client-supplied materials.
- Upon full payment, Conversera assigns to Client the rights in deliverables, excluding proprietary tools or third-party-licensed content, which remain under appropriate license terms.
6. Confidentiality & Data Protection
Both parties commit to maintaining confidentiality of each other’s information. Conversera adheres to relevant data protection legislation when processing personal data on behalf of clients.
7. Liability
Liability is capped at the lower of the fees paid in the prior 12 months or a fixed amount (e.g. USD 1 million), except where prohibited by law. Neither party is liable for indirect, incidental, or consequential losses.
8. Termination
Either party may terminate with at least 90 days written notice. Immediate termination is possible for material breach. On termination, Client remains responsible for fees and costs incurred up to the effective date.
9. Subcontracting & Assignment
Conversera may sub-contract services but retains full responsibility. Assignment of the agreement or its obligations requires written consent.
10. Governing Law
This agreement is governed by the laws of the territory specified in the Scope of Work (e.g. Singapore, Australia, Hong Kong, etc.).
